1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Designlab Solutions ("we", "us", or "our"), the developer and operator of the KM PrintShop platform. By accessing, registering for, or using the KM PrintShop website and software-as-a-service platform (collectively, the "Service"), you agree to be bound by these Terms.

KM PrintShop is developed and maintained solely by Designlab Solutions. Konica Minolta Business Solutions (M) Sdn. Bhd. is the exclusive distributor of KM PrintShop across the ASEAN region. Konica Minolta facilitates the sales, onboarding, and regional support of the platform, but all contractual obligations relating to the Service are between you and Designlab Solutions.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

KM PrintShop is a cloud-based web-to-print management platform designed for printing businesses. The Service includes, but is not limited to:

  • Online job management and production tracking
  • Client self-service portal with job submission and proof approval
  • Automated pricing engine and quotation system
  • Invoicing, billing, and payment tracking
  • Inventory and consumables management
  • Analytics dashboards and business intelligence reporting
  • e-License key management with domain-locked activation
  • Knowledge base, support ticket system, and SLA management
  • Marketing and CRM tools
  • Multi-language and multi-branch support

The specific features available to you depend on your subscription plan (Basic or Premium). Feature availability may change as we continue to develop and improve the platform.

3. Account Registration and Security

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Notify us immediately of any unauthorised access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

4. Subscription Plans and Payment

4.1 Plans

KM PrintShop offers subscription-based access through Basic and Premium plans. Details of each plan, including features and pricing, are available on our Pricing page. We reserve the right to modify plan features and pricing with reasonable notice.

4.2 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis, as selected during registration
  • All fees are quoted in the currency specified at the time of purchase and are exclusive of applicable taxes unless otherwise stated
  • Payment is due upon invoice issuance. Failure to pay within the specified period may result in service suspension
  • We accept payment methods as displayed on our platform, including bank transfer and online payment

4.3 Refunds

Subscription fees are generally non-refundable. However, if you experience a material service failure that we are unable to resolve within a reasonable timeframe, you may request a pro-rata refund for the unused portion of your subscription period. Refund requests must be submitted in writing within 30 days of the issue.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service for any illegal, fraudulent, or harmful purpose
  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload, transmit, or distribute any malicious code, viruses, or harmful content
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to send unsolicited commercial communications (spam)
  • Resell, sublicense, or redistribute access to the Service without our prior written consent
  • Use automated tools (bots, scrapers) to access the Service except through our published APIs
  • Violate any applicable local, national, or international law or regulation

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, code, design, text, graphics, logos, and other content, is the exclusive property of Designlab Solutions and is protected by intellectual property laws. The KM PrintShop name, logo, and branding are trademarks of Designlab Solutions. The Konica Minolta name and logo are trademarks of Konica Minolta, Inc. and are used under licence for distribution purposes.

Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Service as described herein.

6.2 Your Content

You retain ownership of all content, data, and files that you upload to or create within the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive licence to store, process, and display Your Content solely for the purpose of providing the Service to you.

You are solely responsible for ensuring that Your Content does not infringe the intellectual property rights of any third party.

7. e-License Keys

If your subscription includes e-License key functionality, the following terms apply:

  • License keys are issued for the specific domain(s) registered during activation
  • Each license key is non-transferable and may only be used on the registered domain
  • Attempting to use a license key on an unauthorised domain will result in automatic deactivation
  • License keys expire in accordance with your subscription period and must be renewed to maintain access
  • We reserve the right to revoke license keys in cases of Terms violation or non-payment

8. Service Availability and Support

8.1 Uptime

We strive to maintain high availability of the Service. Our target uptime is 99.5% measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated in advance whenever possible.

8.2 Support

Support is provided through the in-platform ticket system, knowledge base, and email. Premium subscribers receive priority support with faster response times as detailed in our Service Level Agreement (SLA), accessible through the Client Portal.

8.3 Modifications

We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will provide reasonable notice of material changes that may affect your use of the Service.

9. Data Protection

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

You are responsible for ensuring that any personal data you upload to the Service (such as your clients' information) is collected and processed in compliance with applicable data protection laws in your jurisdiction.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied
  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim

11. Indemnification

You agree to indemnify, defend, and hold harmless Designlab Solutions, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you upload to or create within the Service

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or through the account settings in the platform. Termination does not entitle you to a refund of any prepaid fees unless otherwise specified in Section 4.3.

12.2 By Us

We may suspend or terminate your access to the Service immediately if:

  • You breach any provision of these Terms
  • Your subscription payment is overdue by more than 30 days
  • We are required to do so by law or regulation
  • We reasonably believe your account has been compromised or is being used for fraudulent purposes

12.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain your data for a period of 30 days following termination, during which you may request an export of Your Content. After this period, your data will be permanently deleted from our systems, except where retention is required by law.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with these Terms shall be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Malaysia.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable SLA, constitute the entire agreement between you and Designlab Solutions regarding the Service.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.
